Azion Global – Standard Terms of Sale & Sourcing

1. Role & Scope of Services

Azion Global acts as an independent sourcing, procurement, and logistics coordination provider. The structure of each transaction may vary depending on the nature of the order, and Azion Global’s role may include facilitating procurement, coordinating supply, or acting as the contracting party for the supply of goods, as appropriate to the transaction. In connection with each order, Azion Global will:

  • Identify and engage suitable manufacturers and suppliers
  • Negotiate pricing and commercial terms
  • Coordinate product specifications, samples, and approvals
  • Coordinate production progress with the manufacturer
  • Arrange or facilitate quality control and inspection processes
  • Coordinate shipping and logistics in coordination with the Buyer through third-party providers. The Buyer may alternatively appoint its own shipping or logistics provider.

In certain cases, Azion Global may act as an exclusive distributor or designated sourcing partner for specific products or markets, pursuant to separate written agreements with manufacturers.

Azion Global does not manufacture products and does not exercise direct control over manufacturing processes or factory operations.

2. Product Specifications

Products shall be manufactured in accordance with written specifications, drawings, samples, or descriptions approved by the Buyer prior to production.

Minor variations that do not materially affect functionality or intended use may occur as part of standard manufacturing processes.

3. Samples and Approval

Samples are provided to demonstrate general quality, materials, and design intent. Production units will be manufactured in accordance with approved samples and specifications, subject to standard manufacturing tolerances.

4. Pricing and Payment

All prices are exclusive of shipping, freight, insurance, customs duties, taxes, and other import-related charges unless otherwise stated.

Deposits are required prior to production and are non-refundable once production has commenced or costs have been incurred.

Remaining balances are payable as specified in the invoice, typically prior to shipment or release of goods.

5. Production and Delivery Timelines

Production and delivery timelines are estimates and may be affected by factory schedules, material availability, logistics conditions, customs clearance, and other factors outside Azion Global’s control.

Azion Global will coordinate with manufacturers to monitor progress and provide updates to the Buyer.

6. Quality Control and Inspection

Azion Global may arrange pre-shipment or in-process inspections through independent third-party inspection providers.

  • Inspections are conducted on a sampling basis
  • Findings reflect conditions at the time of inspection
  • Reports are provided for transparency and reference

Inspection findings are based on sampling and provide an indicative assessment of product conformity at the time of inspection, rather than a full verification of all units.

7. Shipping, Freight, and Duties

Shipping and logistics may be coordinated in coordination with the Buyer through third-party providers.

The Buyer may alternatively appoint its own freight forwarder or logistics provider.

All shipping, freight, insurance, customs duties, clearance fees, and import-related charges shall be borne by the Buyer.

Azion Global is not a carrier and does not assume responsibility for delays, loss, or damage occurring during transit.

8. Risk of Loss

Risk of loss transfers to the Buyer upon handover of goods to the carrier or freight forwarder.

9. Inspection and Acceptance of Goods

The Buyer shall inspect goods promptly upon receipt.

Any claims for defects, shortages, or non-conformance must be reported in writing within seven (7) days of delivery. Failure to do so constitutes acceptance of the goods.

10. Warranty and Remedies

Unless otherwise expressly stated in writing, no independent warranty is provided by Azion Global.

Any product warranty is limited to that provided by the manufacturer, if applicable.

Azion Global’s role is limited to facilitating communication and coordination with the manufacturer regarding warranty claims.

11. Limitation of Liability and Claims Handling

Azion Global shall coordinate and assist the Buyer in addressing product-related issues, including facilitating communication, documentation, and follow-up with the manufacturer.

However:

  • Any refund, replacement, or compensation relating to product value is subject to the manufacturer’s review and acceptance
  • Recovery of product-related costs depends on the outcome of the manufacturer’s resolution process and is not independently guaranteed by Azion Global

Third-party inspections:

  • Are conducted independently and on a sampling basis
  • Provide an indicative assessment at the time of inspection
  • Do not represent a full inspection of all units

Shipping and logistics:

  • Are performed by independent third-party providers
  • Azion Global shall not be liable for delays, loss, or damage during transit

Limitation of liability:

Azion Global’s total liability, if any, arising from or related to any order shall be limited to the amount paid by the Buyer to Azion Global for the specific batch of goods giving rise to the claim.

For clarity, any product-related claims, including defects or non-conformance, shall be addressed through the manufacturer, and Azion Global will coordinate and assist the Buyer in pursuing appropriate resolution.

In no event shall Azion Global be liable for indirect, incidental, consequential, or lost-business damages, including loss of profits or business opportunities.

12. Cancellation

Orders may not be cancelled once production has commenced or costs have been incurred.

13. Storage and Demurrage

Any storage, handling, demurrage, or related charges arising from delays in receiving goods shall be borne by the Buyer.

14. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Acceptance of Terms

Payment of any invoice issued by Azion Global constitutes acceptance of these Terms.
